1. Agreement to These Terms
These Terms of Service ("Terms") govern your use of soniinteriorssupply.com (the "Site"), your purchases from Soni Interiors LLC ("Soni Interiors," "we," "us," or "our") whether made online, by phone, or in one of our showrooms, and your communications with us.
By using the Site, placing an order, requesting a quote, or opting into our communications, you agree to these Terms. If you do not agree, please do not use the Site or purchase from us.
These Terms incorporate by reference our Privacy Policy, Shipping & Delivery Policy, and Return & Damage Policy. Together they form the complete agreement between us regarding your purchase. Where a term in this document conflicts with one of those policies, the more specific policy controls for its subject matter.

We are a family-owned retailer of kitchen cabinets, bathroom vanities, flooring, tile, natural stone, countertops, wall panels, moldings, and related interior finish materials.
3. Eligibility
You must be at least 18 years old and able to form a binding contract to purchase from us or opt into our communications. By using the Site you represent that you meet these requirements and that the information you provide is accurate.
4. Changes to These Terms
We may update these Terms at any time. The version in effect on the date of your order governs that order. Material changes will be reflected in the "Last Updated" date above, and continued use of the Site or continued business with us after an update constitutes acceptance of the revised Terms.
5. Your Account
You may create an account to track orders and save addresses. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your password, and for all activity under your account. Notify us immediately at support@soniinteriors.com if you believe your account has been accessed without your authorization.
We may suspend or close an account that we reasonably believe has been used for fraud, abuse of our policies, resale in violation of these Terms, or any unlawful purpose.
6. Communications and Consent
6.1 Electronic Communications
By using the Site or providing your contact information, you consent to receive communications from us electronically, including by email and through notices posted on the Site. You agree that electronic communications satisfy any legal requirement that a communication be in writing.
6.2 Transactional Communications
Regardless of your marketing preferences, we will send communications necessary to complete your transaction: order confirmations, receipts, quotes and estimates, backorder and delay notices, shipping and delivery notifications, delivery scheduling messages, and customer service responses. Delivery scheduling messages may come from us or from our delivery and freight partners.
6.3 Email Marketing
If you subscribe to our email list, you will receive newsletters, promotional offers, Green Tag Sale announcements, new arrival notices, and store event invitations. You may unsubscribe at any time using the link in any marketing email or by contacting us. Unsubscribing from marketing does not stop transactional messages about orders you have placed.
6.4 SMS and Phone Communications Consent
Consent to communications. By texting "YES" to Soni Interiors, by providing your mobile number and affirmatively opting in through a form or in one of our showrooms, you expressly consent to receive communications from Soni Interiors by:
- Text message (SMS and MMS)
- Phone calls, including calls placed using an automatic telephone dialing system or an artificial or prerecorded voice
What you may receive. Communications may include:
- Appointment confirmations and reminders
- Order updates and delivery notifications
- Customer service communications
- Estimates and project follow-ups
- Promotions, discounts, product announcements, and marketing materials
Promotional messages. By opting in, you agree to receive promotional and marketing text messages regarding sales and special offers; new product launches across cabinets, bathroom vanities, flooring, countertops, and related remodeling materials; seasonal promotions; and store events and clearance notices.
Consent is not a condition of purchase. You do not have to agree to receive marketing texts or calls in order to buy anything from us. You may make any purchase by phone, in person, or online without opting in.
Message frequency. Message frequency varies. [CONFIRM: state an expected frequency, e.g. "up to 6 messages per month." Carriers and the CTIA expect a stated frequency at the point of opt-in.]
Message and data rates. Standard message and data rates may apply according to your mobile carrier's plan. Soni Interiors is not responsible for charges from your mobile service provider. Delivery of messages is subject to effective transmission by your carrier, and carriers are not liable for delayed or undelivered messages.
Calling and messaging hours. We do not place marketing calls or send marketing text messages before 8:00 a.m. or after 8:00 p.m. in your local time zone.
How to opt out. Reply STOP to any message from us to unsubscribe. You will receive one final message confirming your opt-out. You may also opt out by calling (407) 636-8723 or emailing support@soniinteriors.com. Opting out of marketing texts does not stop transactional messages about an order in progress.
Help. Reply HELP to any message, or contact us at (407) 636-8723 or support@soniinteriors.com.
Your number. You represent that the mobile number you provide is yours, and that you will notify us if it changes or is reassigned. Providing a number you are not authorized to enroll is a breach of these Terms.
Call recording and monitoring. We may record or monitor phone calls for quality assurance, training, and order accuracy where we notify you and where permitted by law.
6.5 Privacy
How we collect, use, and share your information is described in our Privacy Policy, which governs over any summary of our privacy practices appearing elsewhere. Your opt-out rights regarding advertising are described in our Do Not Sell or Share My Personal Information page.
7. Products, Descriptions, and Availability
Availability. All products are subject to availability. We reserve the right to discontinue any product, change specifications, or limit quantities without prior notice. Inventory is shared across our three showrooms and our online store, so an item shown as available may sell out before your order is fulfilled. If that happens, we will contact you promptly with options: substitution, backorder with an estimated date, partial shipment, or a full refund of the affected item.
Product descriptions and images. We work to describe products accurately, but we do not warrant that descriptions, specifications, dimensions, coverage calculations, images, or other content on the Site are complete, current, or error-free. Manufacturer specifications may change without notice.
Color, shade, and veining. Tile, natural stone, quartz, granite, engineered wood, laminate, and vinyl vary in color, shade, veining, and pattern between production runs and between individual pieces. Screen images, printed materials, samples, and showroom displays are representative only and will not match your material exactly. Variation is a characteristic of these products, not a defect. We strongly recommend viewing material in person and purchasing all material for a project in a single lot. We cannot guarantee that a lot will remain available for later reorders.
Samples. Samples are provided to show general character only. They are not a guarantee of the appearance of the material you receive.
8. Pricing
Prices change. Prices are subject to change without notice. The price in effect when we accept your order is the price that applies.
Quotes and estimates. Quotes are valid only for the period stated on the estimate. After that period, pricing and availability must be reconfirmed. Quotes are estimates of material and cost based on the measurements and information you provide; they are not a guarantee of the quantity your project will require.
Pricing and typographical errors. Despite our efforts, a product may occasionally be listed at an incorrect price or with incorrect information. We reserve the right to correct errors and to cancel or refuse any order placed at an incorrect price, whether or not the order has been confirmed and whether or not your payment method has been charged. If we cancel an order for this reason after you have been charged, we will issue a full refund. We will contact you before taking either step.
Sales tax. Florida sales tax is applied to taxable orders delivered or picked up in Florida, including delivery charges where taxable. Tax is calculated at checkout.
Tax-exempt and resale purchases. Trade customers purchasing for resale or holding an exemption must provide a valid Florida resale or exemption certificate before the sale is completed. We cannot retroactively remove tax from a completed transaction.
9. Price Match Guarantee
We advertise a price match guarantee. The following terms apply:
- The competing price must be for an identical product — same manufacturer, same model or SKU, same size, finish, and grade.
- The item must be currently in stock and available at the competitor at the advertised price.
- You must provide documentation — a current advertisement, published price, or written quote — showing the competitor's price, the item, and the date.
- The price match must be requested [CONFIRM: at or before the time of purchase / within __ days of purchase].
- Delivery, freight, installation, and handling charges are considered in the comparison.
Not eligible for price match: clearance, closeout, liquidation, going-out-of-business, damaged or open-box merchandise; auction, marketplace, and member-only pricing; limited-quantity or doorbuster offers; competitor pricing errors; rebates, coupons, and bundled or financed offers; contractor, volume, or negotiated pricing; and out-of-market retailers where we do not compete.
We reserve the right to verify a competing price and to decline a match where these conditions are not met.
10. Promotions and Discounts
Promotional offers, coupon codes, Green Tag Sale pricing, and sale events are subject to their stated terms, cannot be combined unless expressly stated, apply only while supplies last, and may be modified or ended at any time. Promotional pricing is not applied retroactively to completed orders. Discounted and special buy merchandise is subject to a restocking fee on return — see our Return & Damage Policy.
11. Orders
Order acceptance. Your order is an offer to buy. Placing an order, receiving an order confirmation email, or having your payment method authorized does not constitute acceptance. We accept your order when we ship it, release it for pickup, or otherwise confirm acceptance in writing.
Right to refuse or limit. We may refuse, cancel, or limit any order for any lawful reason, including suspected fraud, quantity limits, resale, pricing errors, unavailability, or an order we cannot verify. We may limit quantities per customer, per household, or per order.
Order verification. Large orders, orders shipping to an address other than the billing address, and orders flagged by our fraud screening may require verification before processing. We will contact you by phone or email.
Deposits. Orders may require a deposit at the time of purchase.
Special orders. Special order and custom items are purchased from a manufacturer specifically for you.
- Special orders require full prepayment.
- Deposits on special orders are non-refundable.
- Orders cannot be cancelled once production has begun or once the order has been placed with our supplier.
- Manufacturer lead times are estimates provided by the manufacturer. They are not guaranteed, and a delay by a manufacturer or carrier is not grounds for cancellation or refund.
- Please verify color, finish, size, quantity, and specifications carefully. We will confirm these with you before placing the order.
Cancellation of in-stock orders. In-stock orders may be changed or cancelled before they are picked, loaded, or shipped. Once an order has shipped or been loaded for delivery, it becomes a return under our Return & Damage Policy, and outbound freight is not refunded.
12. Payment
Accepted methods. We accept major credit and debit cards, digital wallets offered at checkout, and other methods we may make available. In-store payment methods may differ.
Authorization. By submitting payment information you represent that you are authorized to use the payment method and authorize us to charge the full order amount, including taxes and shipping. We do not receive or store full payment card numbers; payments are processed by our payment providers.
Synchrony Bank financing. We offer consumer financing through Synchrony Bank. Credit applications are submitted directly to Synchrony, which makes all credit decisions and administers your account. Your credit account terms, billing, statements, promotional financing periods, and disputes about the account are governed by your agreement with Synchrony, not by these Terms. Refunds on financed purchases are credited to the Synchrony account, and your payment obligation to Synchrony continues until the credit posts.
Failed or reversed payments. If a payment is declined, reversed, or charged back, we may cancel the order, withhold release of material, and recover amounts owed, including reasonable costs of collection.
Chargebacks. If you have a concern about a charge, contact us first at (407) 636-8723 or support@soniinteriors.com. Initiating a chargeback without contacting us delays resolution. We will provide the card issuer with your signed invoice, delivery receipt or bill of lading, and the applicable policies.
13. Shipping, Delivery, and Pickup
Shipping, delivery, pickup, and freight terms are governed by our Shipping & Delivery Policy. Key terms are summarized here:
- We ship throughout the State of Florida. We do not ship internationally, and we cannot ship to P.O. boxes.
- We do not ship countertop slabs. Certain oversize items, including long-plank flooring and 16-foot moldings, carry surcharges or are available for pickup and local delivery only.
- Freight delivery is curbside. Drivers will not carry material into your home, garage, or job site. You are responsible for unloading and moving material from the pallet.
- Someone 18 or older must be present to receive and sign for freight and local deliveries.
- Accessorial charges assessed by a carrier — residential delivery, liftgate, limited access, redelivery, storage — may be passed on to you where conditions at the address differ from what was provided.
- Risk of loss. Title and risk of loss pass to you when material is loaded onto the carrier's vehicle at our facility. We will assist with filing freight claims but are not responsible for loss or damage in transit. For pickup and self-transport, risk of loss passes when material is loaded into your vehicle, regardless of who loaded it.
- Uncollected material. Paid material held for pickup is stored free for 14 days. After that, storage of $100 per week may apply.
14. Inspection, Returns, Damage, and Claims
Returns, exchanges, and damage claims are governed by our Return & Damage Policy. Key terms:
- Inspect all material before you accept it. Damage, shortage, or incorrect product must be noted on the delivery receipt or bill of lading before you sign, and reported to us within 48 hours of delivery. A clean signature documents that the shipment arrived complete and undamaged.
- 30-day return window on eligible merchandise, in original unopened packaging, with proof of purchase.
- 20% restocking fee on discounted and special buy products.
- Non-returnable: special order, custom, assembled, open box, cut, and installed material.
- Large format tile breakage of 5% to 7% is expected, is not a defect, and is not covered. Order 10% to 15% above measured square footage to account for breakage, cuts, and waste.
- Material transported in your own vehicle is not covered once loaded.
15. Measurements, Quantities, and Waste
You are responsible for verifying all measurements before purchase. Soni Interiors is not liable for material shortages, overages, or costs arising from incorrect measurements, dimensions, or quantities provided by you, your contractor, your installer, or your designer.
Quantity calculations we provide are estimates based on the information you give us. They do not account for site conditions we have not seen. Always order additional material above your measured square footage for cuts, waste, breakage, pattern layout, and future repairs — typically 10% to 15%, and more for large format tile, diagonal layouts, and complex rooms.
16. Installation
We are a material supplier and do not perform installation. We may refer you to independent contractors, installers, fabricators, and measurement services. These are independent businesses, not our employees, agents, or subcontractors. They set their own pricing, terms, insurance, and warranties, and you contract with them directly.
We are not responsible for the work, conduct, scheduling, pricing, or warranty of any contractor or installer, including one we referred you to. Any installation services we may offer are subject to a separate written agreement.
Have your installer confirm quantities and inspect every piece before installation begins. Installed material cannot be returned or claimed, and installing visibly defective material is generally treated by manufacturers as acceptance of it.
17. Warranties and Disclaimers
Manufacturer warranties. Products may carry a manufacturer's warranty covering defects in materials or workmanship. Warranty terms, coverage, exclusions, duration, and remedies are set by the manufacturer, not by us. We will help you file a claim and provide documentation. Soni Interiors makes no independent warranty beyond those provided by the manufacturer and those required by law.
Claims. Claims regarding damaged or defective material must be reported within the timeframes in our Return & Damage Policy and Shipping & Delivery Policy — before signing at delivery, and in any event within 48 hours of receipt.
Disclaimer. Except as expressly stated in these Terms or required by law, products and the Site are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.
Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions above apply to the fullest extent permitted.
18. Limitation of Liability
To the fullest extent permitted by law:
- Our total liability for any claim arising from or related to a product, an order, the Site, or these Terms will not exceed the amount you paid for the product or service giving rise to the claim.
- We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including labor and installation costs, removal and reinstallation costs, disposal, project delay, lost profits, loss of use, diminished property value, or damage to other property, whether based in contract, tort, warranty, strict liability, or otherwise, and whether or not we were advised of the possibility.
These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations; where that is the case, these limits apply to the fullest extent permitted.
19. Indemnification
You agree to indemnify and hold harmless Soni Interiors LLC, its owners, officers, employees, and agents from any claim, loss, liability, or expense, including reasonable attorneys' fees, arising from your breach of these Terms, your misuse of the Site, your violation of law or the rights of a third party, your installation or use of material purchased from us, or the acts of any contractor or installer you engage.
20. Intellectual Property
The Site and its content — text, product descriptions, photographs, graphics, layout, logos, and the Soni Interiors name and marks — are owned by us or our licensors and protected by intellectual property law. Manufacturer names, product names, and marks appearing on the Site belong to their respective owners.
You may view and print Site content for your personal, non-commercial use in connection with a purchase. You may not copy, reproduce, republish, scrape, frame, or use our content or marks for commercial purposes, including reselling our products or building a competing listing, without our prior written permission.
21. Reviews, Photos, and Other Submissions
If you submit a review, photo, testimonial, project image, comment, or other content to us or to our social media pages, you grant Soni Interiors a non-exclusive, royalty-free, worldwide, perpetual, transferable license to use, reproduce, modify, publish, and display that content in our marketing, on the Site, and on our social channels, with attribution to your first name or handle. You represent that you own or have the right to submit the content and that it does not infringe anyone's rights.
We may remove or decline to publish any submission. We do not offer compensation for submissions unless separately agreed in writing.
22. Acceptable Use
You agree not to use the Site to: violate any law; infringe intellectual property; submit false, misleading, or fraudulent information; transmit malware; scrape, harvest, or index content by automated means without permission; interfere with the Site's operation or security; attempt to gain unauthorized access to any system or account; or resell our products in a manner that misrepresents their origin or condition.
We may suspend or terminate your access for any violation.
23. Third-Party Links, Platforms, and Marketplaces
The Site may link to or embed third-party content, including manufacturer documentation, mapping services, video, review widgets, and social media. We also maintain listings and profiles on marketplaces and social platforms including OfferUp, Facebook, Instagram, Pinterest, and TikTok. Those platforms operate under their own terms and privacy policies, which we do not control. We are not responsible for third-party content, products, or practices.
24. Force Majeure
We are not liable for delay or failure to perform caused by circumstances beyond our reasonable control, including hurricanes, severe weather, flooding, fire, labor disputes, transportation and freight disruption, port congestion, supplier or manufacturer failure, material shortages, utility or network outages, government action, tariffs, epidemic, or civil unrest.
25. Dispute Resolution and Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
THIS SECTION REQUIRES MOST DISPUTES BETWEEN YOU AND SONI INTERIORS TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. IT WAIVES YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR OTHER REPRESENTATIVE PROCEEDING.
YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS. SEE SECTION 25.9.
25.1 What This Section Covers
For purposes of this Section, a "Dispute" means any claim, controversy, or disagreement between you and Soni Interiors LLC arising out of or relating to:
- your purchase, order, quote, deposit, return, refund, or delivery;
- any product you bought from us, including claims about condition, defect, breakage, quantity, description, or fitness;
- your use of soniinteriorssupply.com or any of our showrooms;
- our marketing, advertising, pricing claims, or promotions;
- any communication we sent or you allege we sent, including text messages, phone calls, and email — including claims under the Telephone Consumer Protection Act, the Florida Telephone Solicitation Act, and any comparable federal or state law;
- your personal information and our privacy practices;
- these Terms, our Privacy Policy, our Shipping & Delivery Policy, or our Return & Damage Policy; and
- any relationship arising from the above, whether the claim is based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether it arose before, during, or after the termination of these Terms.
This Section applies to Disputes brought by you against Soni Interiors and to Disputes brought by Soni Interiors against you. It does not apply to a claim by us to collect an unpaid account balance, which we may pursue in court.
25.2 Informal Resolution Comes First
Before starting an arbitration or filing any lawsuit, you must first give us a chance to resolve the matter directly. Most concerns are resolved with a phone call.

Your Notice must include your name, the address and phone number associated with your order, your order or invoice number, a description of what happened, and what resolution you are seeking.
We will have 60 days from receipt to resolve the matter. During that period, either party may request an individual telephone or in-person conference to try to settle. If we have not resolved it within 60 days, either party may begin arbitration. Completing this step is a condition precedent to arbitration or litigation, and any applicable statute of limitations is tolled while the process runs.
If we have a dispute with you, we will follow the same process using the contact information on your order.
25.3 Agreement to Arbitrate
If informal resolution does not settle the matter, you and Soni Interiors agree that the Dispute will be resolved by binding individual arbitration rather than in court, except as stated in Sections 25.4 and 25.5.
This arbitration agreement is governed by the Federal Arbitration Act, which applies because our business involves interstate commerce.
Arbitration will be administered by [CONFIRM: the American Arbitration Association (AAA) under its Consumer Arbitration Rules or JAMS under its Streamlined Arbitration Rules and Consumer Minimum Standards], as those rules exist when arbitration is initiated. The rules are available from the provider. If the selected provider is unavailable or unwilling to administer the arbitration consistent with this Section, the parties will agree on a substitute provider, or a court may appoint one.
Delegation. The arbitrator, not a court, decides all questions about the interpretation, applicability, enforceability, and scope of this arbitration agreement — except that a court decides whether the class action waiver in Section 25.6 is enforceable.
25.4 Small Claims Court Exception
Either party may bring an individual claim in small claims court instead of arbitration, so long as the claim is within that court's jurisdiction and remains on an individual basis. If you live in Florida, that means the small claims division of the county court where you reside or where the transaction occurred.
Nothing in this Section prevents you from reporting a concern to a government agency or from participating in an agency proceeding.
25.5 Intellectual Property Exception
Either party may seek injunctive or other equitable relief in court to protect intellectual property rights — trademarks, trade dress, copyrights, trade secrets, or unauthorized use of the Site — without first proceeding through arbitration.
25.6 Class Action and Collective Relief Waiver
YOU AND SONI INTERIORS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING.
THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF MORE THAN ONE PERSON, MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING, AND MAY AWARD RELIEF ONLY TO THE INDIVIDUAL PARTY SEEKING IT AND ONLY TO THE EXTENT NECESSARY TO RESOLVE THAT PARTY'S INDIVIDUAL CLAIM.
This waiver is an essential part of this agreement to arbitrate. If a court determines that the class action waiver is unenforceable as to a particular claim or request for relief, then that claim or request is severed from arbitration and must proceed in court, and the remaining claims will be arbitrated. Proceedings in court on the severed claim will be stayed until the arbitration of the remaining claims concludes.
25.7 Arbitration Procedures
Starting arbitration. To begin, send a written demand to the arbitration provider following its rules, and send a copy to us at the address in Section 25.2.
Location. Arbitration will be held in Seminole County, Florida, or, at your election, in the Florida county where you reside. You may also elect to have the arbitration conducted by telephone, videoconference, or on written submissions only, to the extent the provider's rules allow.
Fees. Soni Interiors will pay the arbitration filing, administrative, and arbitrator fees that exceed what you would have paid to file the same claim in court, as required by the provider's consumer rules. Each party otherwise bears its own attorneys' fees and costs, except where a statute or the arbitrator's award provides otherwise. If the arbitrator finds a claim or defense was frivolous or brought for an improper purpose, fees may be allocated under the provider's rules.
The arbitrator. A single neutral arbitrator will be selected under the provider's rules. The arbitrator may award any relief a court could award to that individual party, including statutory damages and attorneys' fees where a statute provides for them, subject to the limitations in Section 18 of the Terms. The arbitrator must apply Florida law and honor claims of privilege.
The award. The arbitrator will issue a written decision explaining the essential findings and conclusions. The award is final and binding, and judgment on it may be entered in any court of competent jurisdiction. Review is limited to the grounds available under the Federal Arbitration Act.
Confidentiality. The arbitration and its record are confidential, except as necessary to enforce or challenge the award or as required by law.
25.8 Coordinated and Mass Filings
If 25 or more demands for arbitration raising substantially similar claims are filed against us by or with the assistance of the same counsel or coordinated group, the parties agree the provider will administer them in batches of no more than 50 demands, with a single arbitrator per batch and a single set of filing fees per batch. The parties will cooperate in good faith on batching, and any applicable limitations period is tolled for demands awaiting their batch.
25.9 Your Right to Opt Out of Arbitration
You may reject this arbitration agreement, and it will not apply to you.

Include your full name, mailing address, email address, phone number, and a clear statement that you do not want to be bound by the arbitration agreement.
Opting out affects nothing else. It will not change your pricing, your order, your warranty, or your relationship with us in any way, and it does not affect any other provision of these Terms — including the jury trial waiver in Section 25.10 and the governing law and venue provisions in Section 25.11.
25.10 Jury Trial Waiver
IF FOR ANY REASON A DISPUTE PROCEEDS IN COURT RATHER THAN IN ARBITRATION — INCLUDING IF YOU OPT OUT UNDER SECTION 25.9 — YOU AND SONI INTERIORS EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY.
25.11 Governing Law and Venue
These Terms and any Dispute are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs Section 25.3.
For any Dispute not subject to arbitration, you and Soni Interiors consent to exclusive jurisdiction and venue in the state courts located in Seminole County, Florida, or, where federal jurisdiction exists, in the United States District Court for the Middle District of Florida, Orlando Division. Each party waives any objection to personal jurisdiction or venue in those courts, including any objection based on inconvenient forum.
25.12 Survival and Changes
This Section survives termination of these Terms and the end of your relationship with us.
If we later change this Section, the change will not apply to any Dispute for which you have already sent us a Notice of Dispute under Section 25.2. For all other Disputes, the version in effect when the Dispute arose applies.
26. General Provisions
No agency or partnership. Nothing in these Terms creates a joint venture, partnership, franchise, employment, or agency relationship between you and Soni Interiors. Contractors, installers, fabricators, and measurement services we may refer you to are independent businesses, not our agents.
Compliance with law. Our performance under these Terms is subject to applicable law and legal process. Nothing here limits our ability to comply with law enforcement or governmental requests concerning your use of the Site or information we hold.
Electronic communications and records. Communications between you and us occur electronically — when you visit the Site, send us email, receive our messages, or read notices we post. You consent to receive communications from us in electronic form and agree that all terms, notices, disclosures, and other communications delivered electronically satisfy any legal requirement that they be in writing. A printed copy of these Terms or of any electronic notice from us is admissible in judicial or administrative proceedings on the same basis as other business records we maintain. This does not affect any rights you cannot waive by law.
Changes to the Site. We may modify, suspend, or discontinue the Site or any part of it at any time without liability to you or any third party.
No third-party beneficiaries. Except as expressly provided in Section 25, these Terms are not intended to benefit any third party and create no third-party beneficiary rights. Only you and Soni Interiors may invoke or enforce them.
Severability. If any provision is held illegal or unenforceable, the remainder of these Terms stays fully valid and enforceable, and the provision is modified to the minimum extent necessary to make it enforceable.
No waiver. Our failure to enforce any provision, or any alleged waiver of a breach, is not a waiver of that provision or of any future breach.
